Terms of Use

Software License Agreement & Liability Waiver governing your use of the CannaComply Pro platform.

These Terms govern your access to and use of CannaComply Pro. Read them carefully — they include important provisions regarding liability, indemnification, and your legal rights as a user of the platform.

01Acceptance of Terms

By accessing, downloading, purchasing, subscribing to, or using CannaComply Pro ("Software," "Platform," or "Services"), you ("User," "Customer," or "Licensee") agree to be legally bound by these Terms of Use and all applicable laws and regulations.

If you do not agree to these Terms, you may not access or use the Software.

02Purpose of Software

CannaComply Pro is provided as a compliance management and operational support platform intended to assist cannabis-related businesses with organization, recordkeeping, workflow management, reporting, and compliance-related activities.

The Software is intended solely as an informational and administrative tool and does not constitute legal advice, regulatory advice, business consulting, auditing services, or governmental certification.

03No Legal or Regulatory Guarantee

CannaComply Pro does not guarantee:

  • Compliance with any local, state, federal, or international law
  • Prevention of fines, violations, penalties, enforcement actions, audits, or business interruptions
  • Approval, renewal, or maintenance of any cannabis license or permit
  • Accuracy, completeness, or timeliness of regulatory information
  • Error-free operation of the Software
  • Continuous availability of the platform

User acknowledges that cannabis laws and regulations change frequently and vary by jurisdiction.

The User is solely responsible for:

  • Understanding all applicable laws and regulations
  • Maintaining legal compliance
  • Verifying all records and submissions
  • Consulting qualified legal counsel and compliance professionals

04Assumption of Risk

User expressly acknowledges and agrees that use of the Software involves inherent risks associated with cannabis business operations, compliance management, digital recordkeeping, and regulatory oversight.

User assumes full responsibility for:

  • Regulatory compliance
  • Operational decisions
  • Record accuracy
  • Employee actions
  • Submission deadlines
  • Government reporting requirements
  • Licensing obligations

Use of the Software is entirely at User's own risk.

05Release of Liability

To the maximum extent permitted by law, User releases, waives, discharges, and agrees to hold harmless CannaComply Pro, its owners, officers, employees, contractors, affiliates, licensors, agents, successors, and partners from any and all claims, liabilities, damages, losses, costs, penalties, fines, expenses, lawsuits, or causes of action arising from or related to:

  • Use or inability to use the Software
  • Regulatory violations
  • Compliance failures
  • License suspension or revocation
  • Government enforcement actions
  • Business interruption
  • Loss of profits or revenue
  • Data loss
  • Security breaches
  • Third-party actions
  • Errors or omissions in the platform
  • Inaccurate reporting
  • Reliance on Software-generated information

This release applies whether claims arise under contract, negligence, tort, strict liability, statute, or any other legal theory.

06Limitation of Liability

Under no circumstances shall CannaComply Pro be liable for any:

  • Indirect damages
  • Consequential damages
  • Incidental damages
  • Special damages
  • Punitive damages
  • Loss of business
  • Loss of licenses
  • Loss of data
  • Loss of profits
  • Regulatory penalties
  • Government fines

Even if CannaComply Pro has been advised of the possibility of such damages.

Maximum total liability shall never exceed the total amount paid by User to CannaComply Pro within the previous thirty (30) days.

07No Warranty

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.

CannaComply Pro expressly disclaims all warranties, including but not limited to:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Accuracy
  • Reliability
  • Security
  • Availability
  • Regulatory compliance suitability

CannaComply Pro does not warrant that:

  • The Software will meet User requirements
  • The Software will operate uninterrupted
  • Data will always be secure
  • Errors will be corrected
  • Results obtained from use will be accurate or reliable

08User Responsibility

User agrees to:

  • Maintain accurate records
  • Independently verify all compliance requirements
  • Maintain secure passwords and account credentials
  • Restrict unauthorized access
  • Use the Software lawfully
  • Ensure employee compliance
  • Maintain backups of critical records

User is solely responsible for all activity occurring under their account.

09Indemnification

User agrees to defend, indemnify, and hold harmless CannaComply Pro and its affiliates from and against all claims, damages, liabilities, losses, costs, and expenses, including attorney fees, arising from:

  • User's violation of law
  • User's misuse of the Software
  • Regulatory enforcement actions
  • User-provided data
  • Violations of these Terms
  • Third-party claims related to User operations

10Data & Security

While reasonable security measures may be implemented, CannaComply Pro does not guarantee absolute protection against:

  • Cyberattacks
  • Unauthorized access
  • Data breaches
  • Service interruptions
  • Hardware failures
  • Third-party hosting failures

User acknowledges all online systems involve security risks.

11Subscription & Payment Terms

All subscription fees, setup fees, deposits, onboarding fees, and service payments are:

  • Non-refundable
  • Non-transferable
  • Due according to selected billing terms

Failure to make timely payment may result in account suspension or termination. CannaComply Pro reserves the right to modify pricing at any time with notice.

12Termination

CannaComply Pro may suspend or terminate access at any time, with or without notice, for:

  • Violation of these Terms
  • Suspected unlawful activity
  • Abuse of the platform
  • Nonpayment
  • Security concerns

Termination does not eliminate User obligations or liabilities accrued prior to termination.

13Intellectual Property

All software, branding, logos, designs, workflows, graphics, code, content, and platform materials are the exclusive property of CannaComply Pro and protected under applicable intellectual property laws.

User may not copy, modify, reverse engineer, resell, redistribute, reproduce, or exploit any portion of the Software without written permission.

14Third-Party Services

The Software may integrate with third-party platforms, APIs, or services. CannaComply Pro is not responsible for:

  • Third-party outages
  • Third-party inaccuracies
  • Third-party security failures
  • External integrations
  • Government system availability

Use of third-party services is at User's own risk.

15Governing Law

These Terms shall be governed by and interpreted under the laws of the State of Michigan, without regard to conflict of law principles.

Any disputes shall be resolved exclusively in the courts located in Ingham County, Michigan.

16Severability

If any provision of these Terms is determined unenforceable, the remaining provisions shall remain fully valid and enforceable.

17Entire Agreement

These Terms constitute the entire agreement between User and CannaComply Pro regarding use of the Software and supersede all prior agreements or understandings.

18Changes to Terms

CannaComply Pro reserves the right to modify these Terms at any time without prior notice. Continued use of the Software after changes constitutes acceptance of revised Terms.

User Acknowledgment
